Terms of Use

1Acceptance of these terms

These Terms of Use (“Terms”) govern the download, installation and use of Studio Quadd (the “Software”), a desktop application developed and made available by Soft Quadd (“Soft Quadd”, “we”).

By downloading, installing or using the Software, you (the “User”, “you”) declare that you have read, understood and fully agree to these Terms. If you do not agree with any provision set out here, do not install or use the Software.

If you use the Software on behalf of a legal entity, you declare that you have the authority to bind that entity to these Terms, and “User” then also designates that company.

The Software is not intended for anyone under 16. Users between 16 and 18 must use it with the assistance of their parents or legal guardians.

2Definitions

• Software: the Studio Quadd application, including installers, executables, embedded libraries, configuration files, documentation and updates.
• Device: the User's computer on which the Software is installed and run.
• Self-hosting: the mode of operation in which the entirety of the Software runs on the User's Device, with no intermediary servers operated by Soft Quadd.
• User Content: text, images, logos, fonts, trademarks, prompts, captions, graphic assets and any other material provided, imported or generated by the User through the Software.
• Third-Party Services: artificial intelligence providers, social networks, image providers, browsers and other external services that the User chooses to connect to the Software.

3Licence of use

Soft Quadd grants the User a free, worldwide, non-exclusive, non-transferable and revocable licence to install and run the Software, on as many Devices as desired, for personal or commercial purposes, within the terms and limits of this document.

This licence is granted over the use of the Software, not over its ownership. Nothing in these Terms transfers to the User any property rights over the Software or over Soft Quadd's trademarks.

4What you may do

• Install and run the Software on as many Devices as you want, including inside a company.
• Use it commercially, for your own brand or for client brands, without paying royalties, commissions or revenue shares to Soft Quadd.
• Freely use, publish, sell, license and modify the assets and copy generated through the Software, subject to clause 7.
• Run it self-hosted, on an internal network, with no connection whatsoever to Soft Quadd servers.
• Configure local or API-key artificial intelligence providers, at your choice.

5Restrictions

The User may not:

• Sell, sublicense, rent, lend or distribute the Software for a fee, in whole or in part, or offer it as a service to third parties (SaaS) for consideration, without prior written authorisation from Soft Quadd.
• Remove, obscure or alter copyright notices, trademarks, logos or authorship attributions present in the Software.
• Present the Software as their own product, under another brand, or create a derivative work that misleads third parties as to its origin.
• Use the Software to carry out or facilitate unlawful acts, fraud, spam, disinformation, infringement of third-party rights or breach of the terms of the connected platforms.
• Use the Software to generate content that infringes copyright, image, personality rights, trade secrets or third-party personal data.
• Reverse engineer, decompile or disassemble proprietary parts of the Software, except to the exact extent permitted by mandatory law.
• Circumvent, disable or interfere with the Software's security mechanisms, permissions or technical limits.

6Intellectual property

The Software, its source code, architecture, interface, visual identity, documentation and the distinctive signs “Studio Quadd” and “Soft Quadd” are the exclusive property of Soft Quadd and are protected by Brazilian Law No. 9,610/1998 (Copyright), Law No. 9,609/1998 (Computer Programs) and Law No. 9,279/1996 (Industrial Property), as well as by applicable international treaties.

Using the Software grants the User no rights over Soft Quadd's trademarks, logos or trade names, whose use depends on prior written authorisation.

Third-party components embedded in the Software remain subject to their own original licences, whose notices are preserved in the distribution.

7Content you generate

Because the Software runs entirely on your Device, User Content does not pass through Soft Quadd servers and is not accessed, stored, analysed or used by us for any purpose, including model training.

You are solely responsible for User Content, which includes:

• holding the necessary rights over images, fonts, logos and text you import or use;
• reviewing the assets and captions produced with the help of artificial intelligence before publishing them;
• observing advertising rules, image rights and the legislation applicable to your sector;
• complying with the terms of use of the social networks you publish to.

Content generated by artificial intelligence may contain inaccuracies, outdated or incorrect information. Human review before publication is the User's sole responsibility.

8Third-party services

The Software allows optional connections to Third-Party Services, among them artificial intelligence providers, image providers and the Instagram, Facebook and LinkedIn platforms. These connections are configured exclusively by the User and may be removed at any time.

• Each Third-Party Service has its own terms of use and privacy policy, which the User accepts directly and is responsible for.
• Any costs charged by those services — such as consumption of artificial intelligence APIs — are the User's sole responsibility and bear no relation to Soft Quadd.
• When a Third-Party Service is invoked, the Software transmits to it only the data strictly necessary for the requested operation, directly from the User's Device.
• Soft Quadd does not control and is not liable for the availability, quality, API changes, account suspensions or policies of those services.

Credentials and access tokens for those services are stored locally, on the User's Device, under their custody and responsibility.

9Privacy and data protection

All data produced by using the Software — assets, library, schedule, metrics, brand settings and integration credentials — is written exclusively to the application's data folder, on the User's Device.

Because Soft Quadd carries out no processing of personal data through the Software, that operation does not give rise to controllership or processorship under Brazilian Law No. 13,709/2018 (LGPD) or equivalent legislation. In the relationship between the User and third parties whose data is processed through the Software, the User acts as controller and answers for the corresponding obligations.

Responsibility for backup, integrity and security of the files written to the Device lies with the User. Keeping a backup copy of the application's data folder is recommended.

The website studio.softquadd.com may record technical access data strictly necessary for its operation and security. Privacy questions can be sent to [email protected].

10Technical requirements and availability

The Software is distributed for macOS on Apple Silicon processors (M1 or newer) and for Windows 64-bit. It requires the Google Chrome browser installed on the Device, used internally to render assets at high resolution.

Soft Quadd does not guarantee compatibility with every hardware or operating system configuration, nor does it undertake to maintain support for discontinued versions of systems or third-party services.

The macOS installers may not be notarised by Apple. In that case, the operating system will display a warning on first launch, and it is up to the User to authorise execution if they wish to proceed.

11Updates and evolution of the Software

Soft Quadd may publish new versions of the Software at its sole discretion, with fixes, improvements or new functionality. Installing updates is optional and depends on action by the User.

Features may be modified, replaced or discontinued between versions, particularly when they result from changes in Third-Party Services outside Soft Quadd's control.

Soft Quadd is not obliged to provide technical support, maintenance, training or customisation, save for any specific agreement made in writing.

12Free of charge, and no consideration

The Software is made available free of charge. No payment, subscription, licensing fee or consideration of any kind is owed to Soft Quadd for using it.

Being free of charge creates no vested right to perpetual availability of the Software, to the retention of specific features or to the publication of new versions. Soft Quadd may discontinue distribution at any time, while the User's right to keep using the version already installed on their Device remains intact.

13Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, without warranties of any kind, express or implied.

To the maximum extent permitted by applicable law, Soft Quadd does not warrant that the Software will: (i) meet the User's specific requirements or expectations; (ii) operate uninterrupted, securely or error-free; (iii) produce results that are correct, suitable, original or fit for publication; or (iv) remain compatible with Third-Party Services.

No guidance, oral or written, obtained from Soft Quadd creates any warranty not expressly set out in these Terms.

14Limitation of liability

To the maximum extent permitted by applicable law, Soft Quadd shall not be liable for indirect damages, loss of profits, loss of revenue, loss of data, loss of business opportunity, reputational harm or moral damages arising from the use or inability to use the Software.

Nor is Soft Quadd liable for:

• content created, approved or published by the User, even if generated with the help of the Software;
• suspension, blocking, reach restriction or termination of the User's accounts on social networks;
• costs, charges or unavailability of Third-Party Services;
• loss of files caused by hardware failure, reformatting, uninstallation, lack of backup or third-party action on the Device;
• use of the Software in breach of these Terms or of applicable law.

Given that the Software is provided free of charge, and without prejudice to non-waivable rights provided by law, Soft Quadd's total liability, if and when recognised, is limited to the amount actually paid by the User for the Software — which, being free, equals zero.

15Indemnity

The User agrees to defend, indemnify and hold Soft Quadd, its partners, staff and collaborators harmless from and against any claims, demands, losses, damages, fines or expenses, including legal fees, arising from: (i) use of the Software in breach of these Terms or of the law; (ii) User Content created, imported or published through the Software; or (iii) infringement of third-party rights by the User.

16Acceptable use

It is prohibited to use the Software to produce or distribute material that:

• is unlawful, defamatory, discriminatory, violent or incites hatred;
• constitutes disinformation, fraud, phishing or misleading advertising;
• involves sexually explicit content, child exploitation or infringement of personality rights;
• impersonates a person, company or public body without authorisation, including through synthetic image or voice;
• infringes third-party copyright, trademark or image rights;
• constitutes bulk unsolicited messaging or abusive automation of platforms.

17Term and termination

These Terms remain in force for as long as the Software is installed on the User's Device.

The User may end this relationship at any time by uninstalling the Software and deleting the application's data folder. As there is no sign-up, there is no account to cancel.

The licence granted in clause 3 terminates automatically upon breach of the restrictions set out in clause 5, in which case the User must cease use and uninstall the Software.

The clauses on intellectual property, disclaimer of warranties, limitation of liability and indemnity survive the end of this relationship.

18Changes to these Terms

Soft Quadd may update these Terms to reflect changes in the Software, in Third-Party Services or in legislation. The version in force will always be published on this page, with the date of the last revision shown at the top.

Continued use of the Software after a new version is published implies agreement with the revised Terms. If you do not agree, stop using and uninstall the Software.

19Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, in particular Law No. 9,609/1998, Law No. 9,610/1998, Law No. 12,965/2014 (Brazilian Internet Civil Framework) and Law No. 13,709/2018 (LGPD).

The courts of the User's domicile are elected to settle any disputes arising from these Terms, waiving any other however privileged.

Should any provision be found invalid or unenforceable, the remaining provisions stay in full force. Tolerance of any breach constitutes neither novation nor waiver of rights.

This English version is a translation provided for convenience. In the event of conflict, the Portuguese version prevails.
